Abstract It is common that the corporations are revoked by the departments of registering corporations for violating laws and regulations.Among the factors for corporations being revoked,many are that the stockholders use intentionally corporations' independent personality and the stockholders' limited responsibility and the system of corporation being revoked to attain illegal aims.In theory,corporation should be cleared to solve the creditor's rights and debts when they are revoked.However,for all kinds of reasons,actually many corporations are not cleared when they are revoked,which is dangerous to the of business and do damage to the creditors of corporations.To full the leak of laws and protect corporation creditor' benefits and business' safety,it should be admitted to apply the theory of disregarding corporation personality.
